The agreement calls for both parties to establish a virtual joint venture and virtual entity in Taiwan for the operation of joint product development, introduction of business and future sales activities. The MOU is initially a virtual entity that will have no direct legal representation and will be located at the Alamo Technology Facility or other locations as determined by both AmbiCom Holdings, Inc. and Alamo Technology.
