iSIGN Media Announces an Agreement in Principle to Acquire Graphic Media, Exclusive Distributor for the Americas

TORONTO, ONTARIO — (Marketwired) — 05/05/15 — iSIGN Media Solutions Inc. (“iSIGN” or “Company”) (TSX VENTURE: ISD)(OTCQX: ISDSF), a leading provider of interactive mobile advertising solutions that serves brands, commercial locations, retailers and service providers throughout North America, today announced that it has reached a non-binding Agreement in Principle (“Agreement”) to purchase from Graphic Media, Inc, (“Graphic”) the portion of their business that involves the rights for the exclusive distribution in the Americas, as well as all reseller rights and ownership in Engage Mobile Media Solutions (“Engage”).

The distribution agreement signed between iSIGN and Graphic in November 2012 granted iSIGN the option to acquire Graphic, with shares, at the earliest of either the second anniversary of the distribution agreement or upon the acquisition of one or more of the major targeted accounts identified by both parties, and currently completing trials.

The advantages to iSIGN are many, including the elimination of a price level, thus making iSIGN–s products and services more affordable to end users and more profitable to iSIGN, as well as adding advertising revenue to the Company resulting from the acquisition of Graphic–s 49% ownership of Engage.

Both parties are mutually looking forward to working together and will be working towards completing this transaction within the next thirty (30) days. The acquisition is subject to executing a legally binding purchase agreement and obtaining TSX Venture Exchange approval.
