Innoprise Software Files Suit Against N. Harris Computer Corporation and Harris Systems USA, Inc.

DENVER, CO — (Marketwired) — 06/08/15 — Innoprise Software, Inc. announced today that it has filed a lawsuit in federal court in Denver against N. Harris Computer Corporation and Harris Systems USA, Inc. (“Harris”), wholly-owned subsidiaries of Constellation Software, Inc., a publicly-traded software company that trades under the ticker CSU on the Toronto Stock Exchange The lawsuit alleges numerous breaches and violations by Harris of the Asset Purchase Agreement dated April 29, 2011 (“APA”), under which Harris purchased a local government suite of software applications that Innoprise had developed. This suite of software products is used by dozens of cities and counties across the country to manage their business affairs.

The lawsuit alleges that Harris failed to make significant payments to Innoprise for the revenues that Innoprise was to receive under the APA for the sales of the software. Specifically, the lawsuit alleges that Harris hid sales of the software from Innoprise after the APA was signed, manipulated payments that were due to Innoprise by improperly giving away the Innoprise software and by improperly attempting to charge Innoprise for fees that Harris incurred. The lawsuit also alleges that Harris stole, refused to return to innoprise and charged Harris clients for several additional software modules that belonged to innoprise under the APA.

The lawsuit requests that the sale of the Innoprise software to Harris be rescinded and that the software be returned to Innoprise, that Innoprise be awarded damages for Harris– improper behavior and that Innoprise be awarded treble damages and attorneys– fees for Harris– theft of several software modules.
