AudioEye Letter to Shareholders

TUCSON, AZ — (Marketwired) — 07/22/13 — AudioEye, Inc. (OTCQB: AEYE) (“AudioEye” or “the Company”), creator of the Audio Internet, the patented audio browsing and automated publishing technology, today released the following letter to its shareholders:

Dear Shareholder,

Since the long-awaited spin-off from our former parent company, AudioEye has accomplished a great deal. In this letter, I would like to take a moment to outline the progress we have made and our vision moving forward. We also realize that our Company has gained many shareholders as a result of the spin-off, some of whom may not have followed AudioEye and are unaware of our value proposition. We hope to better inform these shareholders regarding their investment in AudioEye, as well.

As a byproduct of the spin-off, we are now an independent, publicly-traded company, and our shares trade on the OTCQB under the symbol “AEYE”. We have formalized our operational plan and strategy, which focus upon aggressively penetrating multiple targeted verticals to enable Section 508 and 21st Century Communications and Video Accessibility Act compliance. Among these verticals, we have initially targeted the government sector, where a mandate to comply with website accessibility standards is required. Recently, we have hired or partnered with experienced, proven and talented individuals and groups to assure the success of these initiatives.

Our Company is pleased to announce the following achievements and completions of strategic objectives:

In April 2013, following completion of the spin-off, AudioEye shares began trading on the OTCQB under the ticker “AEYE”.

Our recently announced partnership with Government Sales Specialists, LLC (GSS) represents a key component of our strategy for continued expansion into federal, state and local government markets. GSS-s network of 50+ experienced sales professionals has established valued and long-standing relationships with key decision makers in federal government agencies.

AudioEye continues to expand its relationship with Grafton Integrated Health Network, which won the 2013 National Council Impact Award for “Excellence in Behavioral Healthcare Management” in March. Our Company-s patented technologies have provided Grafton with a unique platform that can enhance its ability to provide multiple levels of support to people with a wide range of emotional and/or behavioral challenges.

Our Company continues to put together a world-class technology leadership team that includes Founder and Chief Technology Officer Sean Bradley, along with accomplished platform architect Mark Baker, Chief Development Officer. Mssrs. Bradley and Baker are leading a team of highly skilled developers in the build-out of the next version of the AudioEye audio-enabled browsing and automated publishing technology platform.

As part of our strategy to most efficiently penetrate the market, we have focused on building out a sales affiliate and reseller network. In addition to numerous individuals who bring deep connections and valuable networks to specific verticals, we have established strategic partnerships with complementary technology companies. This includes the recently announced partnership with Affinity Networks, Inc., a provider of technology solutions for healthcare, homeland security, law enforcement, transportation and government agencies.

In late April, AudioEye was voted a gold winner for innovation in the category of “Lifestyle and Social Impact; Quality of Life” at the 2013 Edison Awards ceremony. Being recognized as an Edison Awards winner represents one of the highest accolades a company can receive in the name of innovation and business.

Our patent portfolio continues to expand, and we are fully committed to the protection of our innovations and intellectual property portfolio through the patenting process, both domestically and in foreign markets. Our patent portfolio now includes five issued patents, including issuances on October 23, 2012 of U.S. Patent #8,296,150 and on September 4, 2012 of U.S. Patent #8,260,616. These new patents resulted from AudioEye-s ongoing internal IP development activities. In addition we have received a notice of allowance on another patent that we expect to issue soon.

AudioEye remains focused on its core strategic initiatives and corporate mission. We firmly believe the upcoming roll-out of the next version of our AudioEye SaaS platform, which is scheduled for late this quarter, coupled with the anticipated market traction to be gained by our sales and reseller relationships in the government sector, will lead to a strong finish to the current year and an even stronger beginning to the year 2014.

On behalf of entire AudioEye management team and Board of Directors, I would like to express our appreciation for your continued interest and support. Our primary goal is to reward our shareholders and other stakeholders by building a great company that can open the world of the Internet to the millions of people who cannot fully appreciate and participate in its capabilities.

Respectfully,

Nathaniel Bradley
Chief Executive Officer
