TORONTO, ONTARIO — (Marketwired) — 06/15/15 — iSIGN Media Solutions Inc. (“iSIGN” or “Company”) (TSX VENTURE: ISD) (OTCQX: ISDSF), a leading provider of interactive mobile advertising solutions that serves advertisers, manufacturers, retailers and advertising agencies throughout North America, announces that it has signed Asset Purchase Agreements (“Agreements”) with Graphic Media, Inc, (“Graphic”) and Engage Mobile Media Solutions LLC (“Engage”).
iSIGN will be issuing 10 million treasury shares in exchange for all of Graphic and Engage–s assets that relate to proximity marketing, subject to receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange.
Assets being acquired would include but aren–t limited to: distribution and reseller rights; inventories of Smart Antennas and related equipment; media and advertising lists; contracts and agreements; data collection, mining and analytics and the name Engage Mobile Media Solutions.
The closing of this transaction will result in iSIGN having full control over the distribution of its products and technology, as well as all revenues generated by iSIGN products, including hardware; monthly data and software licensing; advertising revenues from brands and advertisers and from the sale of data insights.
The addition of advertising revenue has the potential to significantly increase iSIGN–s revenues. OR It is estimated that the addition of advertising revenue could double iSIGN–s revenue.
By returning the distribution rights to iSIGN, the Company has effectively eliminated a price step, which will have the effect of making our products more affordable to end users and potentially more profitable to the Company.
In addition, the Company will further benefit from improved lines of communication with and access to brands, advertisers and all current and future National Mobile Network installations.
iSIGN will now have a more efficient global organization and be able to conduct a uniformed pricing policy and data capture methodology.
