iSIGN Media Completes Asset Purchase of Graphic and Engage Media

TORONTO, ONTARIO — (Marketwired) — 06/23/15 — iSIGN Media Solutions Inc. (“iSIGN” or “Company”) (TSX VENTURE: ISD)(OTCQX: ISDSF), a leading provider of interactive mobile advertising solutions that serves brands, commercial locations, retailers and service providers throughout North America, announced that it has received approval from the required regulatory bodies for the purchase of selected assets from Graphic Media, Inc, (“Graphic”) and Engage Mobile Media Solutions LLC (“Engage”) and that 10 million treasury shares will be issued to complete their acquisition.

These assets include but aren–t limited to: distribution and reseller rights; inventories of Smart Antennas and related equipment; media and advertising lists; contracts and agreements with installation sites and related to trial installations; data collection, mining and analytics; ownership of the National Mobile Network and the rights to the name Engage Mobile Media Solutions.

As a result of this purchase iSIGN is now in full control of all of the Americas with sole responsibility for all aspects of its operations, from the addition of resellers and expansion of the National Mobile Network (“NMN”) to the addition of brands and locations in the NMN. In addition, the full revenues that can be generated by iSIGN products, from hardware; monthly data and software licensing; data insight sales and advertising from advertisers on our hardware broadcasting within the NMN will now flow directly to iSIGN.

The result is that iSIGN will be a more streamlined and efficient global organization with a uniformed pricing policy and data capture methodology.

In anticipation of regulatory approvals for this acquisition, meetings were held in Indianapolis on Monday, June 22, 2015 that covered a variety of matters. Major items discussed included programs that iSIGN is working on with its resellers that will integrate with existing and future advertising sales activities within a soon to be expanded NMN and other network locations; restructuring of the resulting entity and staffing and internal procedures and reporting requirements. Engage presented their updated current and planned negotiations with brands and locations and reviewed the expansion plans of the Golden Pantry network, as well as immediate installation and expansion plans for the NMN as a whole. In addition Engage reviewed the renewed trials in Indianapolis locations of a Papa John–s International Inc. (“Papa John–s”) franchisee that are broadcasting menu and beverage coupon offers.

Engage has identified two additional pizza chains as strong targets for our Smart Antenna and patented technology and has scheduled and is preparing presentations for these chains.
